IT Due Diligence
Our goal is to understand and quantify risks whenever possible, identifying potential mitigation strategies, understanding and qualifying opportunities and threats and defining strengths and weaknesses of M&A targets. This includes keep-the-lights-on assessments, IP assessment and valuation, and organizational and technical sophistication. It also includes technical debt assessments and cost to modernize when needed by the prospective buyer.

Merger Integration
We focus on analyzing the target company systems and planning integration into the buyer’s IT environment while ensuring that day 1 needs are met. IT should be able to support ongoing business needs while accommodating integration needs. Key phases addressed include pre-signing, pre-close planning and Day 1 preparation and post-close execution.

Sell Side Carve Out
We plan and execute the disentanglement of the target entity’s IT applications, infrastructure, data, and organization while ensuring that the legacy organization continues to support business as usual.

Buy Side Carve Out
Our services prior to closing consist of helping the buyer negotiate IT-related domains, plan and conduct pre-close readiness and manage the myriad IT standup activities. In cases where the sold entity will operate stand-alone, we also help design the transition plans from initial state to end-state readiness, conduct vendor selection and, if needed, oversee implementation. When the acquired entity is being merged into another entity, we will help in IT merger integration planning and execution.
